Terms and Conditions

1. Provider Identification

These Terms and Conditions govern the marketing and sale of products by CEDEREY, S.A.P.I. de C.V., operating under the trade name BARBOTTINA CERAMICS (hereinafter, “the Company”), which specializes in the manufacturing of ceramic tiles.

They apply to all sales conducted within Mexico, unless otherwise specified in a written agreement.

2. Nature of the Products

Barbottina’s products are handcrafted from ceramic; therefore, they may exhibit:

• Variations in shade, color, and finish
• Slight differences in dimensions
• Micro-cracks, porosity, or marks inherent to the manufacturing process

These characteristics are inherent to artisanal products and shall not be considered manufacturing defects.

3. Quotations and Orders

• Quotations are valid for 30 calendar days, unless otherwise indicated.
• All orders require confirmation via a minimum down payment of 50%, unless otherwise indicated.
• Custom or made-to-order products may not be canceled once production has started.
• Any modifications must be requested in writing and may imply adjustments in price and delivery times.

In the event that an order is placed and the requested product is unavailable or out of stock, the customer shall be informed as soon as possible, as well as of the total or partial cancellation of the purchase, without granting any right to compensation of any kind or nature.

4. Prices and Taxes

Prices are expressed in:

• Mexican Pesos (MXN) for domestic sales.
• United States Dollars (USD) for export sales.

Prices include:

• VAT / IVA (in Mexico).
• Sales tax (in the US, if applicable).
• Shipping, insurance, duties, or import fees.

5. Payment Terms

• Down Payment: 50% upon order confirmation.
• Remaining Balance: Due prior to shipping.

Payment Methods

• Point of sale (POS) via credit or debit card solely for in-store purchases.
• For online purchases, Openpay is used as the payment gateway.
• PayPal.

All payments must be settled in the agreed currency, and products will only be released once the payment has been 100% credited and cleared in the corresponding bank account.

6. Production and Delivery Times

• Standard production time is 4 to 8 weeks, depending on volume and design.
• Delivery times may vary due to weather conditions, material availability, and production volume.
• The Company does not guarantee exact delivery dates, but rather estimated timelines.

Delivery times may change due to logistics issues or force majeure events; therefore, BARBOTTINA CERAMICS shall be exempt from any liability.

7. Shipping and Logistics

Mexico

• Delivery at the factory or shipping via courier services.
• Risk transfers to the customer upon delivery to the carrier.

8. Receipt and Damages

The customer must inspect the product upon receipt. Any damage must be reported within 48 hours of delivery, including photographic evidence and order number. Claims submitted after this period will not be accepted.

9. Return Policy

• No returns are accepted for custom or made-to-order products.
• Replacements will only be issued in the case of verifiable manufacturing defects for the damaged products; items without defects are not eligible for replacement.
• An invoice covering the purchase is required, and the request must be submitted within 72 hours of delivery.
• If a replacement is approved, it will be an even exchange for the same product; a higher-value item will never be provided without the customer paying the corresponding difference.
• The customer shall bear all shipping costs for both the return and the delivery of the replacement product.

10. Installation and Use

Professional installation is highly recommended. Barbottina Ceramics shall not be held liable for:

• Incorrect or improper installation
• Inappropriate use or product misuse
• Failures caused by adhesives or external materials

It is strongly suggested to perform preliminary testing before proceeding with the full installation.

11. Warranty

• Limited 6-month warranty against manufacturing defects.
• Does not cover natural wear, aesthetic variations, or transportation damage.

12. Intellectual Property

All designs, patterns, molds, and finishes are property of BARBOTTINA and are protected by applicable law. Reproduction without express authorization is prohibited.

13. Force Majeure

The Company shall not be held liable for delays or failures to perform resulting from events beyond its reasonable control, including:

• Natural disasters
• Supply chain disruptions
• International logistical issues

14. Jurisdiction

• For operations in Mexico: The courts of Monterrey, Nuevo León.
• For exports: The jurisdiction agreed upon by the parties or, failing that, the courts of Mexico.

15. Acceptance

Order confirmation implies the full and unconditional acceptance of these Terms and Conditions.
